The Firm has a deep bench with broad expertise in advising not-for-profit entities in real estate matters across the full spectrum of matters from simple commercial leases to tax-exempt bond financed facilities. We handle all phases of transactions from corporate authority, negotiation and due diligence through closing and subsequent sub-leasing, assignment or sale. Our attorneys are also well-versed in tax-exemptions available to not-for-profit entities and working with tax-exempt borrowers including Industrial Development Agencies, public authorities and public benefit corporations. In addition, the Firm stands ready to litigate or arbitrate real estate matters as necessary to vindicate our client’s rights under real estate contracts and other documents.
The Firm’s representative experience includes:
- Review and negotiation of commercial leases and subleases for not-for-profit office space, operations and other facilities.
- Complex sale and lease of not-for-profit property including undeveloped land, commercial property and utilities including any impact on the client’s tax-exempt status.
- Financing, siting and due diligence aligned with tax-exempt client needs including the creation of tax-exempt related entities as may be needed or desired.
- Procurement of title insurance and resolution of all manner of title claims and issues including related litigation.
- Handling of real estate and real estate transaction disputes in state and federal court and arbitration fora.
